1. Overview

Geraldine Cohen Consulting LLC (“Société Design,” “we,” “our,” or “us”) owns and operates societe-design.com (the “Site”) as well as our New York City showroom. These Terms & Conditions (“Terms”) govern all use of the Site, in‑store purchases, and any associated services (collectively, the “Services”).

By visiting the Site, placing an order, or otherwise interacting with us, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

We may update these Terms at any time without prior notice. The version posted at the time of your purchase will apply to that transaction, so please review the Terms whenever you shop with us.

2. Acceptable Use & Prohibitions

You agree not to:

• Commit, facilitate, or encourage unlawful activity.
  
  
• Introduce malware, viruses, worms, logic bombs, or any code that is malicious or technologically harmful.
  
  
• Attempt to gain unauthorized access to any portion of the Services or related systems.
  
  
• Use robots, spiders, scrapers, or other automated means to access the Site, or launch denial‑of‑service attacks.
  
  
• Post or transmit offensive, obscene, or infringing material.
  
  
• Overburden or interfere with the Site’s performance or security.
  
  

We reserve the right to monitor use of the Services and to report misconduct to law‑enforcement. Violations may result in civil or criminal liability.

3. Terms of Sale

1. Placing an Order – By submitting an order you offer to buy the selected products subject to these Terms. All orders are subject to stock availability and acceptance by us.
   
   
2. Payment – We accept wire transfers, Visa, MasterCard, American Express, Discover, and eligible debit cards. Funds are authorized at checkout and captured when your order is packed. You warrant that the payment method is yours or you have authority to use it.
   
   
3. Security – All card transactions are processed through Shopify Payments using SSL encryption. We exercise reasonable care to protect your data but cannot guarantee absolute security.
   
   
4. Pricing & Accuracy – Prices are listed in U.S. dollars and may change without notice. If a pricing, inventory, or description error occurs, we may cancel or re‑invoice your order before shipment. If your card has been charged, you will receive an immediate refund for any canceled item.
   
   
5. Acceptance – You will receive an order‑confirmation email after checkout. Final acceptance occurs when we dispatch the goods; at that moment a contract is formed in New York, NY, USA and governed by New York law. We reserve the right to refuse or cancel any order for any reason, including payment authorization failure, suspected fraud, or export restrictions.
   
   
6. Vintage Item Condition – Many Société Design products are vintage and may exhibit signs of age. We endeavor to describe the condition accurately; all vintage sales are final.
   
   

5. Shipping, Risk & Title

• Depending on the item, goods ship FOB origin from New York or from Paris. This will be confirmed before order placement.
• Risk of loss passes to you upon carrier pickup; title passes upon full payment.
  
  
• Any shipping time frames are estimates only; delays caused by carriers or customs are beyond our control.
  
  

6. Returns & Exchanges

Because most pieces are one‑of‑a‑kind, all sales are final unless the item arrives damaged or materially inconsistent with its description. Claims must be emailed to contact@societe-design.com within 48 hours of delivery with clear photographs of the issue. Approved returns must be shipped back within seven (7) days in original packaging. Refunds are credited to the original form of payment.

7. Intellectual Property

All content on the Site—including text, images, graphics, logos, and layouts—is the property of Société Design or its content suppliers and is protected by U.S. and international copyright, trademark, and design laws. You may not copy, reproduce, distribute, or create derivative works without our prior written consent.

8. Links to Third‑Party Sites

For convenience, the Site may link to external websites we do not own or control. We are not responsible for the content, availability, or privacy practices of such sites and disclaim any liability for your use of them.

9. Indemnification

You agree to indemnify, defend, and hold harmless Société Design, its owners, officers, employees, affiliates, and agents from any third‑party claims, damages, or costs (including reasonable attorneys’ fees) arising out of (i) your breach of these Terms, (ii) your misuse of the Services, or (iii) your violation of any law or the rights of a third party.

10. Limitation of Liability

To the fullest extent permitted by law, Société Design shall not be liable for any indirect, incidental, special, or consequential damages—including lost profits, data, or goodwill—arising from your use of the Services or purchase of products. Our total liability for any claim will not exceed the amount you paid for the applicable product or service.

Certain state laws (including New York General Business Law) may not allow limitations on implied warranties or the exclusion or limitation of certain damages, so these limitations may not fully apply to you.

11. Force Majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, war, terrorism, labor disputes, supply shortages, pandemic, or power outages.

12. Severability & Waiver

If any provision of these Terms is deemed unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

13. Governing Law & Dispute Resolution

These Terms and any dispute arising hereunder are governed by the laws of the State of New York, without regard to conflicts‑of‑law principles. You consent to the exclusive jurisdiction of state and federal courts located in New York County, NY for any legal action arising from the Services. You and Société Design waive trial by jury.
